1. Agreement and service
These Terms of Service govern access to and use of TumiFlow, a multilingual cloud-hosted business platform operated by Kazumi Nagata / 永田 一美 in Osaka, Japan. By creating an account, accepting an invitation, purchasing a subscription, or using TumiFlow, you agree to these Terms and the policies incorporated by reference. If you use TumiFlow for an organization, you represent that you have authority to bind it.
TumiFlow provides CRM and contacts, sales opportunities, Inbox and customer communication, appointments, tasks, funnels and lead forms, workflow automation, AI-assisted features, billing tools, and integrations. Available features may vary by plan, location, development stage, and connected provider.
2. Eligibility
You must be legally able to enter a binding agreement and be at least 18 years old, unless applicable law requires a higher age. You may not use TumiFlow if prohibited by law or if your account was previously terminated for a serious violation without written permission to return.
3. Accounts and workspaces
- Provide accurate and current account and billing information.
- Protect credentials and promptly report suspected unauthorized access.
- Use individual accounts rather than sharing credentials.
- Ensure invited workspace users are authorized and assigned appropriate roles.
- Accept responsibility for activity by authorized workspace users and for lawful configuration of the workspace.
The workspace owner controls membership, roles, connected providers, and business data, subject to TumiFlow's security and billing controls. TumiFlow may rely on instructions from authorized account and workspace users.
4. Customer data and responsibilities
Customers retain ownership of business data and other content they submit, create, import, or connect to TumiFlow. The customer grants TumiFlow a limited, non-exclusive right to host, copy, transmit, process, display, and otherwise use that content only as reasonably required to provide, secure, support, and improve the service, comply with law, and follow the customer's authorized instructions.
Customers are responsible for the lawfulness, accuracy, notices, permissions, consents, retention choices, and use of their data and communications. Customers must have appropriate rights to upload data, contact recipients, connect providers, and instruct TumiFlow to process information. TumiFlow does not become the owner of customer business data.
5. TumiFlow intellectual property
TumiFlow and its licensors retain all rights in the service, software, design, interfaces, documentation, branding, logos, and other platform intellectual property, excluding customer data. These Terms provide a limited, revocable, non-transferable right to use the service during an authorized subscription; they do not transfer ownership. Feedback may be used to improve TumiFlow without identifying the contributor or disclosing confidential customer data.
6. Subscriptions and current pricing
Current base prices are Starter at $49 per month or $490 per year; Growth at $99 per month or $990 per year; and Pro AI at $199 per month or $1,990 per year. Manual Philippine payment pricing may be offered through GCash or GoTyme as shown in TumiFlow. Additional locations for the same business may incur charges displayed at checkout.
The prices, currency, plan scope, billing interval, and additional charges displayed on the Pricing and Checkout screens at the time of purchase are the authoritative current offer. Applicable taxes may be added where required. TumiFlow may change future pricing or plan features with appropriate notice; changes do not retroactively alter an already paid billing period unless required by law or agreed with the customer.
7. Founding Offer
Eligible new customers may automatically receive 70% off an eligible Monthly subscription for the first three months. Starter is $14.70 per month during the offer and then $49 per month; Growth is $29.70 and then $99; Pro AI is $59.70 and then $199. Manual-payment equivalents may be offered in PHP as shown at checkout.
- The offer applies only to eligible Monthly subscriptions; Annual subscriptions are excluded.
- Eligibility is determined automatically from trusted TumiFlow billing information and is limited to first-time customers under the current offer rules.
- A customer with a previous successful Stripe payment or Verified/Paid GCash or GoTyme payment does not qualify again.
- The three-month clock starts with the first successful or verified eligible Monthly payment, does not pause for missed, pending, rejected, unpaid, past-due, or suspended periods, and normal pricing applies automatically after it ends.
- Cancellation, suspension, reactivation, plan changes, payment-method changes, email changes, or account changes do not restart the offer.
- The offer cannot be combined with Annual pricing or another discount unless TumiFlow expressly states otherwise.
Offer availability and any qualifying cutoff shown at Pricing or Checkout are part of the current offer. The Founding Offer is limited and is not a permanent entitlement.
8. Payment methods and authorization
Supported subscription payment methods may include Stripe/card, GCash, and GoTyme. Stripe processes card and recurring subscription payments; card details are handled by Stripe and are not stored directly by TumiFlow.
GCash and GoTyme are manually reviewed methods. A submitted reference, date, note, or proof image remains Pending until authorized TumiFlow billing staff verifies the payment. Submission does not establish that funds were received and does not guarantee approval or activate service. Incorrect, duplicate, unverifiable, or conflicting submissions may be rejected.
9. Renewals, past due status, and suspension
Stripe subscriptions renew automatically at the applicable monthly or annual interval unless cancelled under the applicable plan terms. For GCash or GoTyme, the customer must make payment and submit the required reference before renewal can be verified.
An unpaid subscription may move from Active to Past Due, enter a three-day grace period, and then become Suspended if payment remains unresolved. During suspension, business operations may be restricted, while Billing and necessary account access may remain available to resolve payment. Suspension does not immediately delete customer data, integrations, or settings. A successful Stripe payment or verified manual payment may reactivate service, subject to plan and account status.
10. Cancellation
Unless a different rule is clearly shown at purchase or required by law, cancellation takes effect at the end of the current paid billing period and access continues through that period unless the account is restricted for another valid reason. Cancellation does not immediately delete account or workspace data. Retention and deletion are governed by the Privacy Policy and applicable law.
11. Third-party services
Customers may connect services such as Google/Gmail, Stripe, OpenAI, Google Gemini, Anthropic, and future communications or business providers. Third-party services are governed by their own terms, fees, data practices, availability, and account rules. TumiFlow is not responsible for third-party outages, policy changes, usage charges, content, or account restrictions, but will use reasonable efforts to operate supported integrations.
Customers authorize TumiFlow to exchange the information required to perform requested integration functions. Disconnecting a provider stops new access through that connection, but previously synchronized records may remain under TumiFlow's retention rules.
12. AI-assisted features
AI-generated or AI-assisted output may be incomplete, inaccurate, biased, or unsuitable. Users must review output before sending, publishing, relying on, or acting on it. AI output is not legal, financial, medical, tax, employment, or other professional advice. The customer is responsible for deciding whether an AI feature and its output are appropriate and lawful for a particular use.
AI provider usage is billed under the customer's relationship with the connected provider and is not included in the TumiFlow subscription unless TumiFlow expressly states otherwise.
13. Acceptable use
You must follow the Acceptable Use Policy. Prohibited conduct includes illegal activity, fraud, phishing, spam, malware, credential theft, harassment, abusive messaging, unauthorized access or scraping, rights violations, misuse of integrations, and attempts to bypass subscriptions, security controls, permissions, or workspace isolation.
14. Availability and changes
TumiFlow does not promise uninterrupted or error-free service or 100% uptime. Maintenance, security work, provider outages, and changes to features or integrations may affect availability. TumiFlow may modify, replace, suspend, or discontinue features and will use reasonable efforts to operate the service reliably and provide appropriate notice of material changes where practical.
15. Suspension and termination
TumiFlow may restrict, suspend, or terminate access for serious or repeated policy violations, illegal use, non-payment, fraud, abuse, material security risk, or conduct that threatens the service or others, subject to applicable law. Where appropriate and safe, TumiFlow may provide notice and an opportunity to remedy. Customers remain responsible for charges accrued before termination.
16. Disclaimers and liability
To the extent permitted by law, TumiFlow is provided on an 'as available' basis. TumiFlow does not warrant that every feature, integration, AI output, automation, or third-party service will be uninterrupted, error-free, or suitable for every business purpose. Customers are responsible for independent records, review of automated actions, and appropriate business continuity measures.
To the extent permitted by law, TumiFlow will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunity arising from the service. TumiFlow's aggregate liability relating to the service will not exceed the fees paid by the affected customer to TumiFlow during the 12 months before the event giving rise to the claim. These limits do not exclude liability that cannot lawfully be excluded or limited, and mandatory consumer rights remain unaffected.
17. Indemnity
To the extent permitted by law, a business customer will defend and indemnify TumiFlow against third-party claims arising from the customer's unlawful content, communications, provider use, violation of another person's rights, or material breach of these Terms, except to the extent caused by TumiFlow's own breach or misconduct.
18. Governing framework and disputes
These Terms are governed by the laws of Japan, without regard to conflict-of-law principles. Courts in Japan will have jurisdiction unless mandatory consumer, privacy, or other law gives the customer rights or a forum that cannot be waived. Before formal proceedings, the parties should attempt in good faith to resolve a dispute by contacting tumiflow.support@gmail.com.
The governing-law, jurisdiction, liability, and consumer-rights wording should receive professional legal review before paid public launch, particularly for customers outside Japan.
19. General and contact
If part of these Terms is unenforceable, the remaining terms continue. Failure to enforce a term is not a waiver. Customers may not transfer these Terms without TumiFlow's consent, except where law permits; TumiFlow may transfer them as part of a business reorganization with appropriate protections.
